These Terms and Conditions are designed to protect both you and us, and by using our service means that you agree to these terms and conditions.

General

Zaver Solutions, LLC dba Zaver Solutions (“ZS”, “Zaver Solutions”, “we”, “us”, “our” or “business”) provides video and photo digitization services.

1. Copyright & Ownership Warranty:

Customer Warranty: The customer must warrant that they own the full rights to the materials submitted or have legal permission for digitization. You give us permission to handle and convert them to digital media as part of your order. The physical media and subsequent digital media is your property.

User Generated Content & Prohibited Behavior
You agree that you will not submit any videos or photos or content that:

• Includes nudity, pornographic, or sexually explicit material.

• Depicts or encourages illegal actions, violence, or criminal conduct.

• Is hateful, defamatory, threatening, or harassing.

• Violates the rights of others, including privacy and intellectual property.

Indemnification: The customer agrees to hold the business harmless from any legal claims (e.g., copyright infringement) arising from the unauthorized transfer of submitted media.

Trademarks: The Zaver Solutions name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Zaver Solutions. You must not use such marks without the prior written permission of Zaver Solutions.

2. Scope of Services & Deliverables:

Service Definition: Physical media (VHS, S-VHS, VHS-C, Hi8, MiniDV tapes and photographs) will be converted to digital format (MP4 and/or JPG) and the expected delivery method will be on a USB flash drive.

Turnaround Time: Turnaround is generally 1 to 2 weeks, but delivery dates are estimates and not guaranteed, as older media can require unexpected technical interventions.

Sales are Final: We will make every effort to make you happy and get the results you desire, but some media may not be able to be digitized. There are no refunds, unless it was due to a mistake on our behalf. Orders can not be canceled or returned once started.

3. Limitation of Liability & Physical Loss:

Risk Acknowledgment: We treat your media with care, but the customer understands that physical media (tape, film and photos) can degrade or break during the transfer process due to age. All service is provided “as-is”, there is no guarantee of the quality of the finished files although we will do everything we can to make them as good as possible. We are not liable for consequential damages, sentimental loss or emotional value.

Shipping: We will not be liable for, or guarantee against, the misdirection, loss, or theft of, or damage to, your media or the Deliverables, or any other materials, while they are in transit through or in possession or under the control of any third party carrier in connection with shipment by you to us or by us to you.

4. Payment & Abandoned Property:

Payment Terms: Full payment is due before or upon delivery of the digital media.

Abandoned Property: If physical media is not picked up or shipping is not paid for within 30 days, the business may dispose of the materials.

5. Privacy & Data Handling:

Confidentiality: Customers content will not be shared, viewed beyond what is necessary for technical quality control, or used for marketing without explicit written consent.

Digital Storage: Digital copies will be kept on our servers for 30 days after delivery before being permanently deleted.

6. Governing Law

These Terms are governed by the laws of the State of Minnesota. Any legal disputes will be resolved through arbitration in Hennepin County, Minnesota.
